Contracts succeed only when every angle is covered. Here are three common mistakes (4–6) that often derail even the best negotiations — and how to spot them.

4th Mistake – Excluding Key Stakeholders

Failing to involve all departments can cause major gaps in contracts.

📉 Not fully including Sales/Customer requirements in the scope.

💰 Skipping Finance review of payment terms, taxation, forex, and risk.

⚖️ Ignoring Legal input on confidentiality, indemnity, and dispute resolution.

🏢 Proceeding without the User department feedback.

📑 Missing out on Compliance policies / SOPs.

5th Mistake – Last-Minute Changes to Scope, Quality, or Design

Changing the contract at the last moment can lead to confusion, delays, and cost overruns.

➕ Adding features or deliverables after rates & terms are finalised.

📝 Amending specifications post-final quotation.

👥 Introducing new evaluators late in the process.

🔧 Redesigning features or quality parameters midway.

⏳ Project delays due to redesigns and rework.

6th Mistake – Setting Impossible Deadlines

Rushed contracts often backfire with compliance issues and execution failures.

🚫 Skipping trial runs / pilot tests.

🔄 Ignoring change management needs.

🏗️ Setting unrealistic timelines for statutory approvals (esp. SITC contracts).

⚠️ Missing testing or compliance requirements.

⏱️ Squeezing vendor timelines without consultation.

Involving the right people, locking specs early, and setting achievable timelines can save your contracts from collapse.
